1. Introduction
The Terms and Conditions govern your use of our Website and together with the Privacy Policy constitute your agreement with us (“Agreement”). By accepting the Terms and Conditions, you acknowledge that you have read and understood the Terms and Conditions and agree to be bound by them. If you do not agree with (or cannot comply with) the Terms and Conditions, you may not use the Website, but please let us know by emailing at office@net24global.com so we can try to find a solution. The Terms and Conditions apply to all who wish to access or use the Website.

2. Definitions
The terms used in the Terms and Conditions shall mean respectively:
Terms and Conditions — these Terms and Conditions.
NET24 Apply or Website — the website available at net24apply.com, providing services to Users under the rules set out in the Terms and Conditions and in accordance with the applicable laws.
Net24 Global or Company (hereinafter also referred to as “we”, “us” or “our”) — the entity that owns and operates the Website, i.e. Net24 Global L.L.C-FZ, a company based in Dubai, UAE (Meydan Grandstand, 6th floor, Meydan Road, Nad Al Sheba, Dubai, UAE), Tax Registration Number 104919265900001. The Company does not provide services to entities conducting business activity in the United Arab Emirates.
User (hereinafter also referred to as “you” or “your”) — the individual using the Website and the company or organization on behalf of which that individual is using the Website. If you use the Website on behalf of a company or organization, “User”, “you” or “your” shall include that company or organization and any individuals associated therewith using the Website, and you are agreeing to the above Agreement on behalf of your company or organization and representing that you are authorized to do so. You are nevertheless individually bound by this Agreement even if your company or organization has a separate agreement with Net24 Global.
User Account or Account — the section of the Website created using data provided by you when signing up. The User Account allows you to store, share and edit the information you entered on the Website.
Student — an individual looking for educational services; a person who is eligible to be enrolled in an educational program at an educational institution.
Educator — a company or organization that is responsible for providing formal education and instruction to Students. This can include public and private colleges, universities, language schools, training centers, and other educational establishments.
Agent — an individual, company or organization that provides services to Students and Educators. This commonly includes educational counseling, such as program and educational institution matching, and assistance with visa applications to Students, and support in identifying qualified Students to Educators.

3. Services
3.1. NET24 Apply is an online platform that provides services to Users operating in the educational sector. The types of Users are defined in the Definitions section above.
3.2. In order to gain access to NET24 Apply, it is required to use a device with a web browser and a stable internet connection. We recommend that you take the appropriate precautions, as the use of electronic services may entail risks, including the possibility of phishing attacks and unauthorized use of your personal data by third parties or the installation of malicious software on your device.
3.3. You need to log in to view the content of the Website. To create an Account, it is necessary to have an active email account (email address).
3.4. In order to create the profile of your institution as an Educator or Agent, you need to log in to your Account and complete the registration of your institution by filling in at least the required fields. After completing the registration, you can add texts, photos and/or videos so that your partners can learn about your offer based on your institution’s profile. You can also create Accounts for your employees. Please note that your permissions are different from those of your employees. Only you have the right to edit your institution’s information.
3.5. You have control over your institution’s profile, and you are required to provide only true and up-to-date information. Your institution’s profile may not mislead other Users. You shall ensure that the textual and visual information on your institution’s profile complies with the applicable laws and does not infringe the Terms and Conditions, the Company’s rights, or the rights of third parties, including intellectual property rights.
3.6. Services provided to Users who have set up their Accounts as Students include but are not limited to data transfer and candidacy submission. This service is intended for individuals who have expressed their willingness to have their data transferred to educational institutions or student recruitment agencies registered on the Website, through which they can find an educational program consistent with the defined parameters. The accuracy and completeness of the submitted information are the responsibility of the Student, and the Company does not guarantee acceptance or admission by the educational institution. The right to refuse the transfer of data that does not meet required standards or violates any policies is reserved.
3.7. Services for Educators include but are not limited to: access to the online platform that helps streamline the admission process for prospective students; enabling cooperation with Agents registered on the platform; enabling cooperation with the Educator’s own Agents by registering them in a separate database visible only to the Educator; enabling the registration of applicants for the Educator’s programs directly in the Educator’s application panel (these applicants are visible only to the Educator); forwarding verified applicants for the programs run by the Educator; running promotional campaigns for the Educator on the Company’s websites and social media. The scope of services depends on the ordered package and is included in Annex 1 to your Cooperation Agreement with Net24 Global.
3.8. Services for Agents include but are not limited to: access to the online platform that helps streamline the admission process for prospective students; enabling cooperation with Educators registered on the platform; enabling exclusive cooperation with one Educator by registering the Agent in a separate database, available only to that Educator; forwarding potential applicants to the Agent; running promotional campaigns for the Agent on the Company’s websites and social media. The scope of services depends on the ordered package and is included in Annex 1 to your Cooperation Agreement with Net24 Global.
3.9. The statement of fees for services provided on the Website is included in the Annex no. 1 to your Cooperation Agreement with Net24 Global. The price applicable at the time of your order shall be binding.
3.10. If you order a paid service made available on or through the Website, you may be asked to supply certain information relevant to your order, including but not limited to your credit or debit card number, the expiration date of your card, and your billing address. You represent and warrant that you have the legal right to use any card(s) or other payment method(s) in connection with any purchase, and that the information you supply to us is true, correct and complete.
3.11. We may employ the use of third-party services for the purpose of facilitating payment and the completion of purchases. By submitting your information, you grant us the right to provide the information to these third parties subject to our Privacy Policy.
3.12. We reserve the right to refuse or cancel your order at any time for reasons including but not limited to: product or service availability, errors in the description or price of the product or service, error in your order or other reasons. We also reserve the right to refuse or cancel your order if fraud or an unauthorized or illegal transaction is suspected.
3.13. We are not involved in transactions and/or contracts between Users (Educators, Agents, and/or Students). As a result, we cannot guarantee a successful or satisfactory outcome of any process initiated with another User. In the event that you have a dispute with one or more Users, you agree to release us and our officers, directors, employees, and agents from all claims, demands and damages (actual and consequential, direct and indirect) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with the use of the Website.

4. Prohibited Uses
4.1. You may use the Website only for lawful purposes and in accordance with the Terms and Conditions. You agree not to use the Website:
4.1.1. In any way that violates any applicable national or international law or regulation.
4.1.2. For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content or otherwise.
4.1.3. To transmit, or procure the sending of, any advertising or promotional material, including any junk mail, chain letter, spam, or any other similar solicitation.
4.1.4. To impersonate or attempt to impersonate the Company, the Company’s employee, another User, or any other person or entity.
4.1.5. In any way that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, or harmful, or in connection with any unlawful, illegal, fraudulent, or harmful purpose or activity.
4.1.6. To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Website, or which, as determined by us, may harm or offend the Company or Users of the Website or expose them to liability.
4.2. Additionally, you agree not to:
4.2.1. Use the Website in any manner that could disable, overburden, damage, or impair the Website or interfere with any other party’s use of the Website, including their ability to engage in real-time activities through the Website.
4.2.2. Use any robot, spider, or other automatic device, process, or means to access the Website for any purpose, including monitoring or copying any of the material on the Website.
4.2.3. Use any manual process to monitor or copy any of the material on the Website or for any other unauthorized purpose without our prior written consent.
4.2.4. Use any device, software, or routine that interferes with the proper working of the Website.
4.2.5. Introduce any viruses, Trojan horses, worms, logic bombs, or other material which is malicious or technologically harmful.
4.2.6. Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Website, the server on which the Website is stored, or any server, computer, or database connected to the Website.
4.2.7. Attack the Website via a denial-of-service attack or a distributed denial-of-service attack.
4.2.8. Take any action that may damage or falsify the Company’s rating.
4.2.9. Otherwise attempt to interfere with the proper working of the Website.

5. Processing of Personal Data

6. No Use by Minors
The Website is intended only for access and use by individuals at least eighteen (18) years old. By accessing or using the Website, you warrant and represent that you are at least eighteen (18) years of age and with the full authority, right, and capacity to enter into the Agreement and abide by the Terms and Conditions. If you are not at least eighteen (18) years old, you are prohibited from both the access and usage of the Website.

7. Intellectual property
7.1. Unless otherwise specified, the content found on or through the Website is the property of the Company or used with permission. You may not distribute, modify, transmit, reuse, download, repost, copy, or use said content, whether in whole or in part, for commercial purposes or for personal gain, without express advance written permission from us.
7.2. The Website and its original content (excluding content provided by Users), features and functionality are and will remain the exclusive property of the Company and its licensors. The Website is protected by copyright, trademark, and other laws of Poland and foreign countries. Our trademarks may not be used in connection with any product or service without our prior written consent.

8. Copyright Policy
8.1. We respect the intellectual property rights of others. It is our policy to respond to any claim that the content posted on the Website infringes on the copyright or other intellectual property rights (“Infringement”) of any person or entity.
8.2. If you are a copyright owner, or authorized on behalf of one, and you believe that the copyrighted work has been copied in a way that constitutes copyright infringement, please submit your claim via email to office@net24global.com, with the subject line: “Copyright Infringement”, and include in your claim a detailed description of the alleged Infringement as detailed below, under “DMCA Notice and Procedure for Copyright Infringement Claims”.
8.3. You may be held accountable for damages (including costs and attorneys’ fees) for misrepresentation or bad-faith claims on the infringement of any content found on and/or through the Website on your copyright.

9. DMCA Notice and Procedure for Copyright Infringement Claims
9.1. You may submit a notification pursuant to the Digital Millennium Copyright Act (DMCA) by providing us with the following information in writing:
9.1.1. An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest.
9.1.2. A description of the copyrighted work that you claim has been infringed, including the URL of the location where the copyrighted work exists or a copy of the copyrighted work.
9.1.3. Identification of the URL or other specific location on the Website where the material that you claim is infringing is located.
9.1.4. Your address, telephone number, and email address.
9.1.5. A statement by you that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.
9.1.6. A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner’s behalf.

10. Error Reporting and Feedback
10.1. You may provide us either directly at office@net24global.com or via third-party sites and tools with information and feedback concerning errors, suggestions for improvements, ideas, problems, complaints, and other matters related to our Website (“Feedback”). You acknowledge and agree that:
10.1.1. You shall not retain, acquire or assert any intellectual property right or other right, title or interest in or to the Feedback.
10.1.2. The Company may have development ideas similar to the Feedback.
10.1.3. The Feedback does not contain confidential information or proprietary information from you or any third party.
10.1.4. The Company is not under any obligation of confidentiality with respect to the Feedback.
10.2. In the event the transfer of the ownership to the Feedback is not possible due to applicable mandatory laws, you grant Net24 Global and its affiliates an exclusive, transferable, irrevocable, free-of-charge, sub-licensable, unlimited and perpetual right to use (including copy, modify, create derivative works, publish, distribute and commercialize) the Feedback in any manner and for any purpose.
10.3. The Company accepts no liability for any claims, penalties, losses, damages, costs or expenses arising from any reliance placed on the content of the Website, the use or inability to use the Website, the downloading of any materials from the Website, or any unauthorized access to or alteration to the Website.
10.4. In the event of irregularities in the provision of the Website services, you may file a complaint within 14 days from the date on which the event which is the subject of the complaint occurred. Complaints should be submitted by email: office@net24global.com.
10.5. The complaint should contain at least the following information: your name and email address, subject of the complaint, and circumstances giving rise to the complaint. In the absence of this information, the complaint will not be considered by the Company. Complaints will not be accepted if an issue arises due to User error; however, they may be considered if the User can substantiate that the fault lies with the Company, specifically concerning the timing or publishing of the Website.
10.6. The Company will make every effort to ensure that the complaint is considered within 14 days of its receipt. The Company will notify you of its decision regarding the complaint by sending an email to the address referred to in 10.5 above. After considering the complaint in accordance with the Terms and Conditions, it is not subject to reconsideration.

11. Links to Other Websites
Our Website may contain links to third-party websites or services that are not owned or controlled by the Company. Net24 Global has no control over, and assumes no responsibility for the content, privacy policies, or practices of any third-party websites or services. We do not warrant the offerings of any of these entities or individuals, or their websites. You acknowledge and agree that the Company shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such third-party websites or services. We strongly advise you to read the terms of service and privacy policies of any third-party websites or services that you visit.

12. Disclaimer of Warranty
12.1. The Website services are provided by the Company on an “as is” and “as available” basis. Net24 Global makes no representations or warranties of any kind, express or implied, as to the operation of the Website services, or the information, content or materials included therein. You expressly agree that your use of these services, their content, and any services or items obtained from us is at your sole risk.
12.2. Neither the Company nor any person associated with the Company makes any warranty or representation with respect to the completeness, security, reliability, quality, accuracy, or availability of the Website services. Without limiting the foregoing, neither the Company nor anyone associated with the Company represents or warrants that the Website services, their content, or any services or items obtained through the Website services will be accurate, reliable, error-free, or uninterrupted, that defects will be corrected, that the Website services or the server that makes it available are free of viruses or other harmful components or that the services or any services or items obtained through the services will otherwise meet your needs or expectations.
12.3. Net24 Global hereby disclaims all warranties of any kind, whether express or implied, statutory, or otherwise, including but not limited to any warranties of merchantability, non-infringement, and fitness for particular purpose.
12.4. The foregoing does not affect any warranties which cannot be excluded or limited under applicable laws.

13. Limitation of Liability
Except as prohibited by law, you will hold us and our officers, directors, employees, and agents harmless for any indirect, punitive, special, incidental, or consequential damage, however it arises (including attorneys’ fees and all related costs and expenses of litigation and arbitration, or at trial or on appeal, if any, whether or not litigation or arbitration is instituted), whether in an action of contract, negligence, or other tortious action, or arising out of or in connection with this Agreement, including without limitation any claim for personal injury or property damage, arising from this Agreement and any violation by you of any federal, state, or local laws, statutes, rules, or regulations, even if the Company has been previously advised of the possibility of such damage. Except as prohibited by law, if there is liability found on the part of the Company, it will be limited to the amount paid for the products and/or services, and under no circumstances will there be consequential or punitive damages. Some states do not allow the exclusion or limitation of punitive, incidental or consequential damages, so the prior limitation or exclusion may not apply to you.

14. Termination
14.1. We may terminate or suspend your access to the Website immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of Terms and Conditions.
14.2. If you wish to terminate your Account, you may simply discontinue using the Website. Please contact us at office@net24global.com if you want us to delete your Account.
14.3. All provisions of the Terms and Conditions which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

15. Governing Law
These Terms and Conditions shall be governed and construed in accordance with the laws of Poland, which governing law applies to the Agreement without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms and Conditions will not be considered a waiver of those rights. If any provision of these Terms and Conditions is held to be invalid or unenforceable by a court, the remaining provisions of these Terms and Conditions will remain in effect. These Terms and Conditions together with the Privacy Policy constitute the Agreement between us regarding our Website and supersede and replace any prior agreements we might have had between us regarding the Website.

16. Changes to the Website
We reserve the right to withdraw or amend our Website, and any service or material we provide via the Website, in our sole discretion without notice. We will not be liable if for any reason all or any part(s) of the Website are unavailable at any time or for any period. From time to time, we may restrict access to some parts of the Website, or the entire Website, to Users, including registered Users.

17. Amendments to the Terms and Conditions
We may amend the Terms and Conditions at any time by posting the amended Terms and Conditions on the Website. It is your responsibility to review these Terms and Conditions periodically. Your continued use of the Website following the posting of the revised Terms and Conditions means that you accept and agree to the changes. You are expected to check this page frequently so you are aware of any changes, as they are binding on you. By continuing to access or use our Website after any revisions become effective, you agree to be bound by the revised Terms and Conditions. If you do not agree to the new Terms and Conditions, you are no longer authorized to use the Website.

18. Waiver and Severability
No waiver by the Company of any term or condition set out in the Terms and Conditions shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the Company to assert a right or provision under the Terms and Conditions shall not constitute a waiver of such right or provision. If any provision of the Terms and Conditions is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms and Conditions will continue in full force and effect.

By using the Website services or other services provided by us, you acknowledge that you have read these Terms and Conditions and agree to be bound by them.
